Terms of Service

1. Agreement
These terms govern your access to and use of the Agentra platform ("the Service"). By creating an account or using the Service you agree to them. If you are agreeing on behalf of a company, you confirm you have the authority to bind that company.
2. Accounts and workspaces
You are responsible for the accuracy of your account details, for keeping your credentials confidential, and for all activity that occurs under your account. Each workspace is controlled by the account that created it. Notify us promptly if you believe your account has been accessed without your authorisation.
3. Your content
You retain all rights to the documents, business information and other material you upload ("Your Content"). You grant us only the licence necessary to host, process, index and transmit Your Content in order to operate the Service for you — for example, generating embeddings so your assistant can search your documents when answering a question.
You are responsible for having the right to upload Your Content, and for ensuring it does not infringe anyone else's rights or contain material you are not permitted to process.
4. Acceptable use
You must not use the Service to: break the law; impersonate another person or organisation; send unsolicited bulk messages; harass, deceive or defraud anyone; attempt to gain unauthorised access to the Service or to other customers' data; interfere with or place undue load on the infrastructure; or reverse-engineer the Service other than as permitted by law.
You must not present an AI assistant as a human being where doing so would mislead a customer to their detriment, and you are responsible for complying with any disclosure obligations that apply to automated communications in your jurisdiction.
5. AI-generated output
The Service uses large language models to generate replies. Although assistants are designed to answer from the documents you provide and to escalate when they cannot, generated output may still be incomplete, outdated or incorrect. You are responsible for reviewing your assistant's configuration and behaviour before making it available to your customers, and for the content of communications sent from your workspace.
The Service is not suitable for use as the sole channel for emergency, medical, legal or financial advice, and must not be presented to your customers as such.
6. Third-party services
The Service depends on third parties, including AI model providers, telephony and messaging providers, and payment processing. Their availability is outside our control, and your use of the Service through those channels is also subject to their terms.
7. Fees and billing
Paid plans are billed in advance on a recurring basis at the price shown on the pricing page when you subscribe. Usage beyond the allowances included in your plan may be charged at the published overage rates. Fees are exclusive of taxes unless stated otherwise.
You may cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide pro-rata refunds for partial periods unless required by law. We will give reasonable advance notice of any price change.
8. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access where you materially breach these terms, where payment is overdue, or where continued operation would expose us or other customers to legal or security risk. Where circumstances allow, we will give notice and an opportunity to remedy first.
On termination you may export Your Content for a reasonable period, after which we may delete it in accordance with our Privacy Policy.
9. Availability
We aim to keep the Service available and reliable, but except where a written service-level agreement is in place, the Service is provided without a guarantee of uninterrupted availability. We may perform maintenance, and will try to schedule anything disruptive outside peak hours.
10. Disclaimers and liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, and our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve months preceding the claim. Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.
11. Changes to these terms
We may update these terms. For material changes we will give reasonable notice, for example by email or an in-product notice. Continuing to use the Service after a change takes effect means you accept the updated terms.
